Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Deeplearn application and related services (collectively, the "Service"), operated by DuranAI LLC, a limited liability company incorporated in Ulaanbaatar, Mongolia ("DuranAI," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Deeplearn is a collaborative, AI-powered learning platform that allows users to upload documents and other materials, ask questions grounded in those materials, generate study assets (such as audio overviews, quizzes, and notes), and collaborate with others in shared workspaces.

The Service includes:

  • Web-based user interfaces
  • AI-assisted chat and retrieval features
  • Document storage and indexing
  • Audio, quiz, and note generation
  • Collaboration and real-time presence features
  • Subscription-based plans and usage-based credits

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian.

By using the Service, you represent that you have the legal capacity to enter into these Terms.

3. Accounts & Authentication

3.1 Account Registration

To use the Service, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.

3.3 Account Deletion

At this time, account deletion may not be available. We reserve the right to implement account deletion or data export features in the future.

4. User Content

4.1 User Content Defined

"User Content" includes any materials you upload, submit, generate, or store through the Service, including:

  • Documents, files, text, images, audio, or video
  • Chat messages and prompts
  • Notes, quizzes, and audio outputs
  • Metadata associated with your usage

4.2 Ownership

You retain ownership of your User Content. We do not claim ownership over your uploaded documents or generated outputs.

4.3 License to Operate the Service

By using the Service, you grant DuranAI a limited, non-exclusive, worldwide license to store, process, analyze, index, and display your User Content solely for the purpose of operating and improving the Service.

This license ends when your content is deleted from the Service, subject to reasonable technical and backup retention.

5. AI-Generated Content Disclaimer

The Service uses artificial intelligence models to generate responses, summaries, audio, and quizzes based on User Content.

You acknowledge and agree that:

  • AI-generated outputs may contain inaccuracies
  • Outputs are generated probabilistically and are not guaranteed to be correct
  • The Service does not provide professional, legal, medical, or academic advice

You are solely responsible for verifying outputs before relying on them.

6. Acceptable Use

You agree not to:

  • Upload content you do not have the right to use
  • Violate any applicable laws or regulations
  • Infringe intellectual property or privacy rights
  • Upload malicious code or attempt to disrupt the Service
  • Reverse engineer, scrape, or exploit the Service or models
  • Use the Service to train competing AI models

We reserve the right to suspend or terminate accounts that violate these rules.

7. Collaboration & Shared Workspaces

7.1 Shared Content

When you join a shared notebook or team workspace, other members may view, interact with, and generate content based on shared materials.

7.2 Responsibility

You are responsible for content you share with collaborators. DuranAI is not responsible for actions taken by other users within shared workspaces.

8. Subscriptions, Credits & Billing

8.1 Plans & Credits

The Service offers Free, Pro, and Team plans with usage-based credits. Credits are consumed for features such as AI chat, audio overview generation, and quiz generation.

Credits have no cash value and are non-refundable.

8.2 Payments

Payments are processed via Stripe. By subscribing, you agree to Stripe's terms and authorize recurring charges.

8.3 Plan Changes & Cancellation

  • Plan upgrades take effect immediately upon payment
  • Downgrades or cancellations take effect at the end of the billing period
  • Unused credits do not roll over beyond stated limits

9. Data Storage & Retention

We store data using secure, industry-standard infrastructure provided by major third-party cloud providers.

9.1 Retention

  • Deleting a notebook deletes associated content
  • Deleting a source removes associated files and indexes
  • Some data may persist temporarily in backups or logs

9.2 Data Isolation

Team workspaces are logically isolated. Access is enforced via authentication and security rules.

10. Third-Party Services

The Service integrates with secure, major third-party cloud and payment providers to deliver its features. Your use of the Service may be subject to third-party terms. DuranAI is not responsible for third-party services.

11. Intellectual Property

All software, interfaces, branding, and non-user-generated content are owned by DuranAI or its licensors.

You may not copy, modify, distribute, or reverse engineer any part of the Service.

12. Termination

We may suspend or terminate your access at any time if:

  • You violate these Terms
  • Your use creates legal or operational risk
  • Required by law

Upon termination, your right to use the Service ends immediately.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

We disclaim all warranties, including:

  • Accuracy of AI outputs
  • Fitness for a particular purpose
  • Availability or uninterrupted operation

14. Limitation of Liability

To the maximum extent permitted by law:

  • DuranAI shall not be liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount paid by you in the preceding 12 months

15. Governing Law

These Terms are governed by the laws of Mongolia, without regard to conflict of law principles.

Any disputes shall be resolved in the courts of Ulaanbaatar, Mongolia.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.
